ADMISSIONS DISLAIMER & LIMITATION OF RELIANCE

1. The "No Guarantee" Principle
Equedu LLC is an educational technology and strategic advisory firm. While our proprietary predictive models and expert consulting are designed to optimize application competitiveness, Equedu does not guarantee admission to any institution. Admissions decisions are made solely by third-party educational institutions and are subject to institutional policies, priorities, and subjective evaluation criteria beyond Equedu’s control. Use of Equedu’s services does not constitute a promise, warranty, or assurance of acceptance, scholarship awards, or placement at any specific institution.
2. Scope of Services & User Responsibility
Equedu provides advisory, strategy, guidance, and evaluation of application materials.
2.1 No Submission or Representation: Equedu does not prepare, ghostwrite, or submit application materials on behalf of Users, nor does it represent applicants before admissions committees.
2.2 Final Authority: Users remain fully responsible for the accuracy, authenticity, originality, and final submission of all materials.
2.3 Individual License: All strategies and school lists provided are intended solely for the individual User’s personal application process and may not be shared, reproduced, or used for commercial purposes.
3. Process Assurance (Core Admissions & Complete Pathways Only)
The "Process Assurance" is a premier service-delivery safeguard. This applies strictly and exclusively to clients enrolled in the Core Admissions and Complete Pathway programs.
3.1 The 80% Refund: If a student is not offered admission to at least one (1) institution on their Approved School List, Equedu will refund eighty percent (80%) of the total Tier fees paid. This is the User’s sole and exclusive remedy.
3.2 Definition of "Admission": A "Successful Outcome" (rendering the fee non-refundable) includes an offer of Direct Admission, Early Decision/Action, Waitlist status, or Alternative Entry status (e.g., Spring Admission).
3.3 The Balanced List & Strategic Deadlines: To maintain eligibility, the User must adhere to Equedu’s "Balanced List" methodology, which requires the inclusion of at least three (3) "Likely" institutions as designated by our proprietary models. The school list and strategy must be finalized according to established internal milestones provided at enrollment.
3.4 Participation & Compliance Audit: Eligibility is contingent upon the User’s full engagement with the advisory process, including meeting mandatory attendance standards and submitting applications that strictly align with Equedu's finalized strategic recommendations and “Sign-Off” versions.
4. Refund Policy for Ad-Hoc Services
For services outside of the Core and Complete Pathways (e.g., Hourly Consulting, Essay Reviews):
4.1 Pre-Service: Full refund (less 5% processing fee) if requested at least 48 hours before the session.
4.2 Post-Delivery: No refunds will be issued once the first deliverable (e.g., draft, strategy brief, or meeting) has been provided.
5. Termination & Enrollment Cooling-Off Period
Equedu provides a limited window for termination for convenience following enrollment. Because our strategic advisory and school-list generation phases are highly intensive and front-loaded, refunds for early termination are calculated on a sliding scale based on the duration of enrollment and the advisory resources already deployed. Specific administrative fees and refund percentages are governed exclusively by the Master Service Agreement (MSA) provided during the onboarding process.
6. Academic Integrity, AI Policy, & External Volatility
6.1 AI Policy: Unauthorized use of generative AI to produce drafts without Equedu "Sign-Off" voids the Process Assurance. Equedu is not liable for revocations resulting from failure to comply with university-specific AI disclosure codes.
6.2 Force Majeure & Third-Party Volatility: Equedu is not liable for changes in admissions outcomes resulting from systemic volatility, including but not limited to: shifts in standardized testing requirements (SAT/ACT), financial aid (FAFSA) processing delays, or changes in university visa sponsorship policies.
7. Confidentiality & Non-Disparagement
To protect the integrity of the advisory relationship, both parties agree to maintain the confidentiality of the specific strategies discussed. Furthermore, the User agrees that they will not make any disparaging, defamatory, or harmful statements regarding Equedu LLC, its consultants, or its proprietary models in public forums or social media. Breach of this clause results in the immediate forfeiture of any pending refunds under the Process Assurance.
8. Limitation of Liability & Exclusive Remedy
To the maximum extent permitted by applicable law, EQUEDU LLC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO ITS SERVICES SHALL BE STRICTLY LIMITED TO THE REFUND REMEDIES EXPRESSLY DESCRIBED IN THIS DISCLAIMER OR THE APPLICABLE MASTER SERVICE AGREEMENT. EQUEDU SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF OPPORTUNITY, ECONOMIC LOSS, EMOTIONAL DISTRESS, OR REPUTATIONAL HARM. THESE REFUND MECHANISMS CONSTITUTE THE USER’S SOLE AND EXCLUSIVE REMEDY.
9. Governing Law
This Disclaimer and all associated services are governed by the laws of the State of Delaware, USA. Any legal proceedings shall be brought exclusively in the federal or state courts located in Delaware.
